Mercer vendor contracts needed independent bidding.
I stepped down as sole chair.
Added two outside directors.
Employee director.
Audit committee.
Why?
Because “Ethan trusts his mother” had once been enough explanation for transactions.
Never again.
I sold a minority stake to employees over time.
